Estos términos regulan el uso de Aliados Books Pro (el «programa») y de este sitio, operados por Aliados Hispanos Tax Services LLC («nosotros»). Al crear una cuenta, entrar al programa o usar el sitio, aceptas estos términos. Si los aceptas en nombre de un despacho, confirmas que tienes autoridad para hacerlo.
2. Qué es el servicio
El programa ayuda a los despachos contables a leer estados de cuenta, categorizar movimientos, conciliar, generar reportes, armar el expediente anual de cada cliente y darle a sus clientes un portal de consulta.
3. No es asesoría profesional
El programa organiza y lee información; no sustituye el criterio profesional del contador ni constituye asesoría contable, fiscal o legal. Nada se postea solo: el despacho revisa y aprueba cada movimiento, y es responsable de los reportes, declaraciones y documentos que entrega a sus clientes o a cualquier autoridad. Los resultados dependen de la calidad de los documentos que se cargan.
4. Cuentas y acceso
Cada persona es responsable de su usuario y contraseña, y no debe compartirlos.
El despacho es responsable de quién de su equipo tiene acceso y de a qué clientes les da un usuario de portal.
El programa y todo lo que lo compone —su código, su diseño, sus pantallas, sus lectores de estados de cuenta, sus diccionarios y reglas por giro, el formato del expediente FiDigis, los nombres «Aliados Books Pro» y «FiDigis» y sus logotipos— son propiedad de Aliados Hispanos Tax Services LLC o de sus licenciantes, y están protegidos por las leyes de derechos de autor, marcas y secretos comerciales.
Mientras su cuenta esté activa y al corriente, el despacho recibe una licencia limitada, no exclusiva, intransferible y revocable para usar el programa en su propio trabajo. No se transmite ninguna otra propiedad ni derecho.
6. Lo que no está permitido
No puedes, ni permitir que otro lo haga:
Copiar, modificar, traducir o crear obras derivadas del programa o de parte de él.
Descompilar, desensamblar, hacer ingeniería inversa o intentar obtener el código fuente, la lógica de sus lectores o sus diccionarios.
Usar el programa, o lo que aprendas de él, para construir un producto o servicio que compita con él.
Revender, sublicenciar, rentar o prestar el programa, o darle acceso a terceros fuera del despacho y sus clientes.
Extraer información de forma automatizada, sobrecargar el servicio o saltarse sus controles de acceso.
Hacer pruebas de seguridad o de vulnerabilidad sin nuestro permiso por escrito.
Quitar o tapar los avisos de propiedad o de marca.
Cualquier uso de este tipo termina la licencia de inmediato y nos da derecho a ejercer las acciones legales que correspondan.
7. Los datos del despacho
La información que el despacho carga es del despacho y de sus clientes, no nuestra. El despacho nos autoriza a tratarla sólo para darle el servicio, como se explica en la política de privacidad. El despacho confirma que tiene la autorización de sus clientes para cargar su información y que cumple con las obligaciones de confidencialidad y seguridad que le aplican como preparador.
8. Precio y pago
El precio vigente se publica en el sitio; hoy es de $15 USD por cliente, por cada mes contabilizado. Un mes que no se contabiliza no se cobra, y un mes que ya se cobró no se vuelve a cobrar aunque se abra otra vez para corregirlo. Cada cliente puede tener hasta 5 cuentas de banco o de tarjeta. Para el cobro, cada negocio (cada EIN) cuenta como un cliente, aunque sea del mismo dueño. Las condiciones de facturación se acuerdan con cada despacho al darse de alta. Pueden aplicar impuestos. Si el precio cambia, lo avisaremos con anticipación.
9. Disponibilidad y cambios
Trabajamos para que el programa esté disponible y funcione bien, pero no garantizamos que funcione sin interrupciones ni sin errores. Podemos hacer mantenimiento, y mejorar, cambiar o retirar funciones.
10. Terminación
El despacho puede dejar de usar el servicio cuando quiera. Podemos suspender o terminar una cuenta si se incumplen estos términos. Al terminar, el despacho puede pedir una copia de su información dentro de un plazo razonable.
11. Limitación de responsabilidad
El programa se ofrece «tal cual». En la medida que lo permita la ley, no somos responsables de daños indirectos, incidentales o consecuentes, de pérdida de utilidades o de datos, ni de multas, recargos o intereses fiscales derivados del uso del programa. Nuestra responsabilidad total por cualquier reclamación se limita a lo que el despacho nos haya pagado en los doce meses anteriores al hecho que la origina.
12. Indemnización
El despacho se compromete a defendernos y a sacarnos en paz frente a reclamaciones de terceros que surjan de su uso del programa en contra de estos términos, o de cargar información sin la autorización debida.
13. Ley aplicable
Estos términos se rigen por las leyes del Estado de Arizona, Estados Unidos. Cualquier controversia se resolverá ante los tribunales del Condado de Maricopa, Arizona.
14. Idioma y cambios
Estos términos existen en español y en inglés. Si hubiera diferencia entre las dos versiones, prevalece la versión en inglés. Si los cambiamos, actualizaremos la fecha de arriba y avisaremos a los despachos de los cambios importantes.
These terms govern the use of Aliados Books Pro (the "software") and of this website, operated by Aliados Hispanos Tax Services LLC ("we"). By creating an account, signing in to the software or using the website, you accept these terms. If you accept them on behalf of a firm, you confirm you have the authority to do so.
2. What the service is
The software helps accounting firms read bank statements, categorize transactions, reconcile, generate reports, assemble each client's annual file, and give their clients a portal to view their information.
3. Not professional advice
The software organizes and reads information; it does not replace the professional judgment of the accountant and is not accounting, tax or legal advice. Nothing posts on its own: the firm reviews and approves every transaction, and is responsible for the reports, filings and documents it delivers to its clients or to any authority. Results depend on the quality of the documents loaded.
4. Accounts and access
Each person is responsible for their username and password, and must not share them.
The firm is responsible for which team members have access and which clients it gives a portal login to.
The software and everything it is made of — its code, design, screens, bank-statement readers, dictionaries and rules by line of business, the FiDigis file format, the names "Aliados Books Pro" and "FiDigis" and their logos — are the property of Aliados Hispanos Tax Services LLC or its licensors, and are protected by copyright, trademark and trade-secret laws.
While its account is active and in good standing, the firm receives a limited, non-exclusive, non-transferable and revocable license to use the software in its own work. No other ownership or right is transferred.
6. What is not allowed
You may not, and may not allow anyone else to:
Copy, modify, translate or create derivative works of the software or any part of it.
Decompile, disassemble, reverse engineer or attempt to obtain the source code, the logic of its readers or its dictionaries.
Use the software, or what you learn from it, to build a product or service that competes with it.
Resell, sublicense, rent or lend the software, or give access to third parties outside the firm and its clients.
Extract information by automated means, overload the service or bypass its access controls.
Perform security or vulnerability testing without our written permission.
Remove or obscure ownership or trademark notices.
Any such use ends the license immediately and entitles us to pursue the legal remedies available.
7. The firm's data
The information the firm loads belongs to the firm and its clients, not to us. The firm authorizes us to process it only to provide the service, as explained in the privacy policy. The firm confirms it has its clients' authorization to load their information and complies with the confidentiality and security obligations that apply to it as a preparer.
8. Price and payment
The current price is published on the website; today it is $15 USD per client, per booked month. A month that isn't booked isn't charged, and a month already charged isn't charged again if it is reopened to make corrections. Each client can have up to 5 bank or card accounts. For billing, each business (each EIN) counts as one client, even if it has the same owner. Billing terms are agreed with each firm when it signs up. Taxes may apply. If the price changes, we will give advance notice.
9. Availability and changes
We work to keep the software available and working well, but we do not guarantee it will be uninterrupted or error-free. We may perform maintenance, and improve, change or retire features.
10. Termination
The firm may stop using the service at any time. We may suspend or terminate an account if these terms are breached. On termination, the firm may request a copy of its information within a reasonable period.
11. Limitation of liability
The software is provided "as is". To the extent permitted by law, we are not liable for indirect, incidental or consequential damages, loss of profits or data, or tax penalties, surcharges or interest arising from the use of the software. Our total liability for any claim is limited to the amount the firm paid us in the twelve months before the event giving rise to it.
12. Indemnification
The firm agrees to defend and hold us harmless from third-party claims arising from its use of the software in breach of these terms, or from loading information without proper authorization.
13. Governing law
These terms are governed by the laws of the State of Arizona, United States. Any dispute will be resolved in the courts of Maricopa County, Arizona.
14. Language and changes
These terms exist in Spanish and in English. If there is any difference between the two versions, the English version prevails. If we change them, we will update the date above and notify firms of significant changes.
